Private Limited Company Registration — Document Checklist
Incorporation is filed in one integrated SPICe+ form on the MCA portal. Most delays come from a document that is slightly out of date or a detail that differs between two papers — so gather these first, check them against each other, then file.
For every director and shareholder
PAN card (compulsory for Indian nationals)
Identity proof — Aadhaar, passport, voter ID or driving licence
Address proof in their own name, not older than two months — bank statement, electricity, phone or mobile bill
Passport-size photograph
Their own mobile number and email address — used for verification
Foreign nationals and NRIs: passport and address proof, apostilled or consularised
Digital signatures and DIN
A Class 3 Digital Signature Certificate for every subscriber and director — one per person, never shared
Existing DIN for any director who has one; SPICe+ can allot a DIN to up to three proposed directors who do not
Registered office
Latest electricity, water, gas or phone bill for the premises, not older than two months
No Objection Certificate from the owner of the premises
Rent or lease agreement — or ownership proof, if the premises are your own
Decide before filing
Two proposed names, checked against existing companies, LLPs and registered trade marks
The main business, in a sentence or two — the name has to fit it
Authorised and paid-up capital, and how the shares are split between shareholders
Who the directors are (at least two, one resident in India) and which one signs the forms — the same director signs SPICe+ and AGILE-PRO-S
The bank for the company account, which is opened through AGILE-PRO-S
What most often goes wrong
A utility bill for the office older than two months, or no NOC from the owner — the most common reason a SPICe+ filing is sent back.
A name too close to an existing company, LLP or registered trade mark, or one that does not match the business described.
Details that differ between PAN, Aadhaar and the forms — a spelling, a date of birth — or a DSC that has expired or is being shared.
