An LLP is registered in two steps — name reservation (RUN-LLP), then incorporation (FiLLiP) — and the LLP agreement follows within 30 days. That last step is the one people miss.
For every partner
PAN card
Identity proof — Aadhaar, passport, voter ID or driving licence
Address proof in their own name, not older than two months
Passport-size photograph, mobile number and email address
Designated partners
At least two designated partners, one of them resident in India
A Class 3 Digital Signature Certificate for each designated partner
Existing DIN, if they have one — it can otherwise be allotted in the incorporation filing
Registered office
Utility bill for the premises, not older than two months
No Objection Certificate from the owner
Rent agreement, or ownership proof if the premises are your own
Settle for the LLP agreement
Each partner's capital contribution
Profit and loss sharing ratio
Partners' rights, duties and who can sign for the LLP
How partners are admitted, retire or leave, and how disputes are resolved
What most often goes wrong
Filing the LLP agreement (Form 3) late. It is due within 30 days of incorporation, and the additional fee is ₹100 a day with no upper limit.
Letting the reserved name lapse — a RUN-LLP approval is valid for 90 days, so file FiLLiP inside that.
Office proof problems: an old utility bill, or no NOC from the owner.
